These Terms of Service are a general template and do not constitute legal advice. Because New York law and healthcare-related regulations can be complex, you should have these Terms reviewed and customized by a qualified attorney before relying on them.

These Terms of Service (“Terms”) govern your access to and use of implantident.com and any related products, applications, beta programs, and services (collectively, the “Services”) provided by The Oncall Bot LLC (“The Oncall Bot LLC,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who may use the Services

  • The Services are intended for licensed dental professionals, their authorized team members, and other authorized users acting on behalf of a dental practice, group, or similar organization.
  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • By using the Services, you represent that you are using them for professional or business purposes and that you have the authority to agree to these Terms on behalf of yourself and, if applicable, your organization.

2. Description of the Services

ImplantiDent is a professional tool designed to help dental clinicians analyze radiographs and clinical images of dental implants, compare relevant features against a reference database, and view likely implant systems, platforms, or connection types to support treatment planning.

The Services are meant to support, not replace, the independent judgment of qualified dental professionals.

  • The Services do not provide medical or dental diagnosis or treatment.
  • The Services do not create a dentist–patient relationship between The Oncall Bot LLC and any patient.
  • The Services are not for emergency use. In emergencies, clinicians must rely on their own clinical judgment and standard emergency protocols, and patients should contact their own clinician or local emergency services.

3. Not medical or dental advice

All content and output from the Services—including implant suggestions, match scores, and reference information—is provided for informational and educational purposes only.

You acknowledge and agree that:

  • The Services are not a substitute for your own clinical examination, diagnostic work-up, imaging, or interpretation.
  • You remain solely responsible for evaluating the accuracy, completeness, and relevance of any result; making all clinical decisions; and communicating appropriately with your patients.
  • The Oncall Bot LLC does not practice dentistry or medicine and does not provide clinical care.

4. Your responsibilities

When you use the Services, you agree that you will:

4.1 Provide accurate information

Ensure that registration, contact, and practice information you provide is current, complete, and accurate.

4.2 Maintain account security

  • Keep your login credentials confidential.
  • Notify us promptly if you suspect unauthorized access to your account.

4.3 Comply with laws and professional obligations

You are responsible for using the Services in compliance with:

  • All applicable laws and regulations (including privacy and health-information laws such as HIPAA, where applicable);
  • Your professional standards and licensing requirements;
  • Your practice’s own policies and agreements.

4.4 Handle patient and health information appropriately

  • Only upload or enter information that you are legally permitted to share under applicable law and your practice policies.
  • If you upload Protected Health Information (PHI) or similar health data, you agree to do so only under a valid legal basis and in compliance with any Business Associate Agreement (BAA) or other applicable agreements.

4.5 Use the Services responsibly

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes;
  • Interfere with or disrupt the Services or servers;
  • Reverse engineer, decompile, or otherwise attempt to derive source code, except as allowed by law;
  • Access the Services in order to build a competing product or service;
  • Upload or transmit malware, viruses, or other harmful code.

5. User content and license to us

User Content” means any data, images, radiographs, clinical photos, text, or other materials you upload or submit to the Services.

You retain any ownership rights you have in your User Content. However, you grant The Oncall Bot LLC a non-exclusive, worldwide, royalty-free license to:

  • Use, host, store, reproduce, display, and process User Content as necessary to provide the Services to you;
  • Use de-identified or aggregated versions of User Content to develop, test, and improve algorithms, reference databases, and features.

You represent and warrant that:

  • You have all rights, consents, and permissions necessary to upload and use User Content with the Services; and
  • User Content does not infringe or violate any third-party rights, laws, or professional obligations.

To the extent User Content includes PHI or regulated health information, any such use will be subject to applicable law and to any BAA in place between you (or your organization) and The Oncall Bot LLC.

6. Beta features and feedback

ImplantiDent may be offered, in whole or in part, as a beta or pre-release service.

  • Beta features may be incomplete, may change at any time, and may have more bugs or issues than a generally available release.
  • We may suspend or discontinue beta features at any time.

If you provide feedback, suggestions, or ideas about the Services (“Feedback”), you grant The Oncall Bot LLC a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without any obligation to you.

7. Intellectual property

The Services, including all software, algorithms, databases, user interfaces, designs, and content (excluding User Content), are owned by The Oncall Bot LLC or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal professional or business purposes.

You may not:

  • Copy, modify, distribute, sell, lease, or sublicense the Services;
  • Remove or alter any copyright, trademark, or other proprietary notices;
  • Use any trademarks, logos, or branding of The Oncall Bot LLC without our prior written consent.

8. Third-party services and links

The Services may include links to third-party websites or may allow you to use third-party services. We do not control and are not responsible for third-party sites or services. Your use of third-party sites or services is subject to their own terms and privacy policies.

9. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and share information. The Privacy Policy is incorporated into these Terms by reference.

10. Fees and payment (if applicable)

If portions of the Services are offered on a paid basis, pricing, subscription terms, and billing practices will be described in a separate order form, checkout page, or subscription agreement. You agree to pay all applicable fees when due and to provide accurate billing information.

We may suspend or terminate access to fee-based portions of the Services for nonpayment. If you are using the Services as part of a beta or free trial, we may change pricing, introduce paid plans, or require a separate agreement for continued use in the future.

11. Service changes and availability

We may modify, update, or discontinue the Services (in whole or in part) at any time, including by adding or removing features, changing how the Services are delivered, or suspending or ending beta programs. We do not guarantee uninterrupted availability, and there may be downtime for maintenance, updates, or events beyond our control.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE,” and we make no warranties or guarantees of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

Without limiting the above:

  • We do not warrant that the Services will be error-free, uninterrupted, secure, or free of harmful components.
  • We do not warrant or guarantee that implant identifications, suggested matches, or any other outputs are complete, correct, or suitable for any particular case.
  • You are solely responsible for the clinical use of any information output by the Services.

Some jurisdictions do not allow the exclusion of certain warranties. To that extent, some of the above exclusions may not apply to you, and you may have additional rights.

13. Limitation of liability

To the maximum extent permitted by law:

13.1 Exclusion of certain damages

The Oncall Bot LLC and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, business opportunities, or goodwill; or loss or corruption of data, arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

13.2 Cap on damages

To the extent we are found liable despite the above, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid to The Oncall Bot LLC for the Services in the twelve (12) months preceding the event giving rise to the claim; or
  • One hundred U.S. dollars (US $100) if you have not paid any fees.

Some jurisdictions do not allow certain limitations of liability. To that extent, these limitations apply only to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless The Oncall Bot LLC and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

15. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New York, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising from or related to the Services or these Terms will be brought exclusively in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction and venue of those courts.

16. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. In some cases, we may provide additional notice (for example, via email or an in-app notice). If you continue to use the Services after updated Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using the Services.

17. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, in whole or in part, at our discretion, including if we believe you have violated these Terms, pose a risk of harm or liability to us or others, or if we decide to discontinue some or all of the Services.

Upon termination, your right to use the Services will end, and certain provisions of these Terms that by their nature should survive (such as ownership, disclaimers, limitations of liability, and indemnification) will continue to apply.
